Terms of service

1. Definitions

1.1. "Digital Product" refers to any intangible good or service delivered electronically, including but not limited to software, design files, templates, or digital media.
1.2. "Customer" means the individual or entity purchasing the Digital Product.
1.3. "Delivery" is deemed complete when the Digital Product is made accessible to the Customer via download link, email, or other electronic means.

2. No Refund Policy

2.1. All sales are final. Due to the nature of Digital Products, once Delivery is completed, no refunds, returns, or exchanges will be permitted.
2.2. Exceptions for Resolution Requests:

  • Minor alterations, corrections, or resizing may be considered at the sole discretion of the Seller, provided such requests:
    • Are submitted in writing within 7 days of Delivery;
    • Do not constitute a material change to the original product specifications;
    • Are technically feasible.
  • Approved requests will be fulfilled free of charge within a reasonable timeframe (minimum 7 business days).

3. Customer Obligations

3.1. The Customer is responsible for:

  • Ensuring compatibility of the Digital Product with their systems;
  • Providing accurate specifications at the time of purchase;
  • Promptly notifying the Seller of any defects or discrepancies.

4. Seller’s Liability & Disclaimers

4.1. "As-Is" Basis: The Digital Product is provided without warranties, express or implied, including merchantability or fitness for a particular purpose, except where prohibited by law.
4.2. Limitation of Liability: The Seller’s total liability for any claim shall not exceed the purchase price paid. Indirect, consequential, or punitive damages are excluded.
4.3. Indemnification: The Customer agrees to indemnify the Seller against claims arising from misuse or unauthorized modifications of the Digital Product.

5. Dispute Resolution & Governing Law

5.1. Negotiation: Parties shall attempt to resolve disputes amicably within 30 days via written notice.
5.2. Mediation/Arbitration: If unresolved, disputes shall be settled through binding arbitration under [insert preferred rules, e.g., ICC or UNCITRAL], with proceedings conducted in English.
5.3. Jurisdiction: This Policy shall be governed by the laws of [neutral jurisdiction, e.g., Singapore or England], without regard to conflict-of-law principles.

6. Amendments & Severability

6.1. The Seller reserves the right to modify this Policy with prior notice. Continued use constitutes acceptance.
6.2. If any clause is deemed unenforceable, the remainder of the Policy remains valid.

 

 

7. Absolute Transaction Finality

All sales are utterly irrevocable upon electronic transmission of the product. No refunds, credits, or exchanges shall be granted under any circumstances, including but not limited to:

  • Customer's failure to review product specifications
  • System incompatibilities
  • Change of mind or business circumstances
  • Alleged defects unless verifiable through Seller's sole discretion

8. Liquidated Damages Cap: If any court compels liability despite this clause, damages are strictly limited to $1.00 USD or the product price, whichever is lower.

9. Global Compliance Disclaimers

Customer solely responsible for:

  • Export controls (ITAR, EAR)
  • Sanctions compliance
  • Data protection laws (GDPR, CCPA)
  • Industry regulations
  • Tax obligations
  • Accessibility requirements

10.  No Regulatory Assistance: Seller provides zero compliance documentation or certifications.

11. Unilateral Amendment Rights


Continued product use constitutes absolute acceptance of all changes.
